These Terms and Conditions (“Terms”) govern your access to and use of our website and services (collectively, the “Services”). By accessing our website or using our Services, you agree to these Terms. If you do not agree, do not use our Services.

1) Services

ST5star provides services related to online reputation and review management, including automation workflows, review request messaging, customer feedback collection, and related support services (the “Services”). We may update or change the Services at any time.

2) Eligibility

You must be at least 18 years old and able to form a binding contract to use our Services. If you use the Services on behalf of a business, you represent you have authority to bind that business.

3) Client Responsibilities

You agree to:

Provide accurate information needed to deliver Services

Use the Services in compliance with all applicable laws and third-party platform rules

Only contact customers when you have permission and any required consent (including SMS/email consent where applicable)

Maintain the confidentiality of any account access credentials and notify us of unauthorized access

4) Communications (Email & SMS)

By providing your phone number and/or email address, you consent to receive communications related to your inquiry and/or the Services, including via email and SMS, as permitted by law.

Opt out of marketing emails using an unsubscribe link (if provided) or by emailing [email protected]

Consent to receive messages is not a condition of purchase where prohibited by law.

5) Prohibited Uses

You agree not to use the Services to:

Send spam or unlawful communications

Violate review platform rules or manipulate reviews in prohibited ways

Impersonate others or misrepresent affiliation

Disrupt, hack, or attempt unauthorized access to the Services

Use the Services for illegal, harmful, or fraudulent purposes

We may suspend or terminate access if we believe you violated these Terms.

6) Month-to-Month Billing

If you purchase paid Services, you agree:

Services are provided on a month-to-month basis unless stated otherwise in writing.

Fees are billed in advance on a recurring monthly basis (or as otherwise shown on your invoice/proposal).

You authorize us (and our payment processors) to charge your payment method for recurring fees, taxes, and approved add-ons.

Late or failed payments may result in paused services or restricted access until the account is brought current.

7) Cancellation (30-Day Written Notice Required)

You may cancel month-to-month Services by providing written notice at least thirty (30) days (one month) before your requested cancellation date.

Service continues during the notice period.

Billing continues through the end of the 30-day notice period.

If notice is given less than 30 days before the next billing date, you may be charged for the next billing cycle and cancellation will take effect after the notice period ends.

Payments already made are non-refundable unless required by law or explicitly stated in writing.

Any one-time setup fees (if applicable) are non-refundable once work begins.

8) Results Disclaimer (No Guarantee)

We do not guarantee any specific results, including a certain number of reviews, star rating, rankings, leads, revenue, or the removal of negative reviews. Results depend on factors outside our control, including customer behavior and third-party platform policies.

9) Third-Party Platforms and Tools

Your use of third-party services (including Google, HighLevel, email/SMS carriers, social platforms, payment processors, and other tools) is subject to their terms and policies. ST5star is not responsible for third-party outages, restrictions, suspensions, policy enforcement, API changes, or message deliverability issues.

10) Intellectual Property

All website content (text, graphics, logos, and design) is owned by ST5star or licensed to us and protected by law. You may not copy, reproduce, distribute, or create derivative works without written permission.

If we provide deliverables (templates, workflows, messaging, campaigns), you receive a limited, non-transferable license to use them for your business during your active service term unless stated otherwise in writing.

11) Confidentiality

We will use reasonable efforts to keep confidential information you provide to us private and use it only to provide the Services, except where disclosure is required by law.

12) Limitation of Liability

To the fullest extent permitted by law:

ST5star will not be liable for indirect, incidental, special, consequential, or punitive damages.

Our total liability for any claim related to the Services will not exceed the amount you paid us in the three (3) months before the event giving rise to the claim (or $100, whichever is greater).

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13) Indemnification

You agree to indemnify and hold harmless ST5star from claims, damages, liabilities, and expenses (including reasonable attorney fees) arising from your misuse of the Services, violation of law or third-party rights, customer contact lists/consents, or content/data you provide.

14) Suspension and Termination

We may suspend or terminate Services if you violate these Terms, fail to pay, are required by law, or if your use creates risk or legal exposure for ST5star or our vendors.

15) Changes to Terms

We may update these Terms from time to time. Updates will be posted with a new Effective Date. Continued use of the Services after changes means you accept the updated Terms.

16) Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules.
